RECITALS
Whereas
1. Rentee is the registered owner of the Vehicle.
2. Rentee wants to rent the Vehicle to Renter on such terms as are set out in this Agreement (the “Rental”).
3. Renter wants to rent the Vehicle from Rentee on said terms.
4. This Agreement is rent-only, and Renter will have no right, title, or interest in or to the Vehicle except for the use of the Vehicle as described in this Agreement.
5. This Agreement shall be treated as a true rent for federal and applicable state income tax purposes with Rentee having all benefits of ownership of the Vehicle.
Now, therefore, it is hereby agreed as follows:RENTAL TERM and TERM OF AGREEMENT
1. The “Rental Term Commencement” as used in this Agreement is the moment that the Rentee (or their authorized designee) turns over physical possession of the Vehicle (whether any actual keys are involved) to the Renter. The “Rental Term Conclusion” as used in this Agreement is the moment that the Renter returns physical possession of the Vehicle (whether any actual keys are involved) to the Rentee (or their authorized designee).
2. The Rental Term Commencement and the Rental Term Conclusion shall be as specified in the Rental Agency Agreement (together, the "Rental Term").
3. All terms, provisions, and conditions of this Agreement that should by their nature survive the termination or expiration, regardless of reason, of this Contract, shall so survive.
In consideration of the mutual covenants and contained herein, the Parties agree to the rent arrangement provided hereto.RENTEE'S WARRANTY
1. Rentee hereby represents that the Vehicle, and its parts, appliances, furnishings, accessories, and supplies, are in "as is" condition, and to the best of Rentee’s knowledge, the Vehicle and its parts, appliances, furnishings, accessories, and supplies are in safe and sound condition and are free from defects or faults that would hinder the Vehicle from safe operation under regular use.
2. Rentee has not made, and does not hereby make, any representation, warranty or covenant expressed or implied with respect to the condition, quality, durability, capability, or suitability of the Vehicle, its parts, appliances, furnishings, accessories, or supplies, or against any patent or latent defects therein. Rentee is not responsible for the inoperability or unavailability of any of the Vehicle’s parts, appliances, furnishings, accessories, or supplies.RENTER'S WARRANTY
Renter hereby acknowledges and agrees:
1. Renter has read, understands, and agrees to be bound by all terms, conditions, and policies in this Agreement and the Rental Agency Agreement, which is incorporated herein by reference (together, “The Agreements”).
2. Renter has read, understands, and agrees to be bound by all rules and directions for Vehicle use included in the document titled “Getting to know Peri” (the “Guide”), which is incorporated herein by reference.
3. Renter has sole and complete obligation and responsibility for compliance with all terms of the Agreements and the Guide.
4. The Vehicle will be used only for the purposes stated in The Agreements and the Guide.
5. Renter is the sole party authorized to receive physical possession of the Vehicle from the Rentee at Rental Term Commencement, and to return physical possession of the Vehicle to the Rentee at Rental Term Conclusion.
6. Renter is the designated, primary driver. Renter will allow only those person(s) listed as designated driver(s) in the Rental Agency Agreement to drive, operate, or otherwise cause the Vehicle to move.
7. Renter will maintain the Vehicle and its contents in a safe and workable condition while in Renter’s custody.
8. Renter will return the Vehicle to Rentee in overall condition commensurate with its current condition, and with all documents, keys, parts, appliances, furnishings, accessories, and non-consumable supplies, at the location, date, and time designated in The Agreements.
9. Abandonment or failure to return the Vehicle at the Rental Term Conclusion location, date, and time shall result in penalty fee(s) as shown in Appendices 1 and 2 of the Agreement plus all costs due to and expenses incurred by Rentee for loss of use of the Vehicle, including for rentals cancelled because of failure to return according to the terms of the Rental Term Conclusion.
10. Renter will complete, and sign, all Rental forms required by the Rental Agency Agreement and the Rentee.
11. Rental Term Commencement and Rental Term Conclusion locations, dates and times are as documented in the Agreements and can only be changed with approval by the Rentee in writing in advance.
12. Only those locations and events disclosed to and approved by the Rentee in writing prior to the Rental term Commencement shall be visited during the Rental Term.
13. Renter will provide Rentee at Rental Term Commencement print copies of Renter’s driver’s license, personal vehicle insurance declarations page, home mailing address from a current utility bill, and mobile phone number that is active and available for the Rental Term duration.
14. Renter has received all necessary Vehicle operating instructions during the Rental Term Commencement orientation and/or in writing in the Guide.
15. There are only two seatbelts and there are no LATCH systems for child car seats or booster seats.
16. Vehicle height is 10 feet, 9 inches, width is 8 feet, 3 inches and length is 27 feet, 6 inches.
17. Animals are permitted in the Vehicle only as agreed by Rentee in writing in advance of the Rental Term.
18. Awning use is permitted only while Renter or Renter’s guest(s) is/are present, in the absence of wind or rain, and if the awning is retracted at night.
19. Renter is responsible to ensure availability, sufficiency, and replenishment of fresh water supply, electricity supply, and waste-water capacity and disposal for the Vehicle during the Rental Term.
20. Use of the Vehicle electrical generator carries inherent risk for carbon monoxide poisoning.
21. Renter will adhere to all electrical generator safety requirements and operating instructions stipulated in the Guide.
22. Renter is solely responsible to arrange and pay for all camping arrangements during the Rental Term.
23. All campsites and parking locations used during the Rental Term will be suitably clear, level, and accessible for the Vehicle.
24. Vehicle service, repairs, or replacement of parts may occur during the Rental Term if and only if approved in advance by Rentee in writing. Renter will return to Rentee all receipts for service, repairs, or replacement of parts and the part(s) that were replaced.
25. Renter will pay penalty fee(s) as shown in Appendices 1 and 2 of the Agreement for damaged, broken, or missing Vehicle parts, appliances, furnishings, accessories, and non-consumable supplies.
26. If Renter or any person associated with the Renter leaves their personal vehicle (the “Personal Vehicle”) in the Blue Sky RV Park (the “Park”) located at 9002 302nd Ave SE, Issaquah, WA, 98027, any damage or loss that may occur to the Renter, Renter’s guests or other Vehicle occupants, or to the Personal Vehicle or its contents while in the Park is the Renter’s sole responsibility. The Renter further acknowledges and agrees that, to the maximum extent permitted by law, in no case shall Rentee or the Park be liable for any indirect, incidental, consequential, special, or exemplary damages, or for any damages for personal or bodily injury, emotional distress, or damage to property arising out of or in connection with the leaving of the Personal Vehicle at the Park.
27. The following acts or uses of the Vehicle are prohibited and constitute material breaches of this Agreement:
a. Driving, using, or operating the Vehicle:
i. by anyone who is not a designated driver in the Rental Agency Agreement, or by anyone whose driver’s license is suspended in any jurisdiction.
ii. by anyone under the influence of prescription or non-prescription drugs or alcohol.
iii. by anyone who obtained the Vehicle or extended the Rental Term by giving false, fraudulent, or misleading information.
iv. in furtherance of an illegal purpose or under circumstance that would constitute a violation of law other than a minor traffic citation.
v. for commercial purposes without Rentee’s written consent.
vi. to carry dangerous or hazardous items or illegal material.
vii. outside the United States or Canada or any geographic limitations indicated elsewhere in The Agreements.
viii. when driven in, through, or under an underpass, other structure, ferry, parking lot, campground, or any other facility designed for vehicles, that does not have sufficient parking, backing, turning, maneuvering, overhead, or side clearance for the Vehicle’s external dimensions and driving characteristics.
ix. when it is reasonable to expect Renter to know that further operation would damage the Vehicle.
x. in a manner that causes damage to the Vehicle due to inadequately secured cargo.
xi. without properly latching and locking all the Vehicle’s doors, windows, and exterior storage compartments.
xii. without the blinds open in the rear window of the Vehicle.
xiii. without stowing or securing all objects inside the Vehicle.
xiv. by anyone who is simultaneously operating an electronic device such as a mobile phone, computer tablet, gaming console, etc.
b. Failing to use the Vehicle in compliance with all instructions and warnings provided by the Agreements and the Guide.
c. Failing to properly load materials and distribute the weight of those materials to allow safe operation of the Vehicle.
d. Failing to summon the police to an accident involving the Vehicle.
e. In the event of a wildfire, failing to follow all directions from authorities, including any orders to evacuate, or failing to contact the Rentee immediately when safely evacuated.
f. Damaging the Vehicle by intentional, wanton, willful or reckless conduct.
g. Leaving children or animals unattended in the Vehicle for any period.
h. Transporting or stowing an animal in the Vehicle without Rentee’s written consent.
i. Sitting, standing, or lying on the roof or exterior of the Vehicle.
j. Placing signs or lettering on the outside of the Vehicle.
k. Placing loudspeakers or other sound equipment on the exterior of the Vehicle.
l. Tampering with or disconnecting any odometers or other Vehicle meters.
m. When any of the Vehicle’s fluid levels are low, tire inflation is low, or it is otherwise reasonable to expect you to know that further operation would cause danger or damage to the Vehicle, Vehicle’s occupants, Vehicle’s parts, appliances, furnishings, accessories, and supplies, or any other persons, Vehicles, structures, or things.INSPECTION
1. Rentee and Renter acknowledge and agree that during the Rental Term Commencement
a. They inspected the Vehicle together.
b. Pictures taken and uploaded to the online platform of the Rental Agency Agreement represent an accurate and comprehensive accounting of the Vehicle’s current appearance and condition.
c. Renter accepts the Vehicle as being in good and acceptable condition for all purposes stated in The Agreements.INSURANCE
1. For the duration of the Rental Term, the personal insurance of Renter and the personal insurance of the person driving or otherwise operating the Vehicle (including towing or stationary use) are the primary insurance for the Vehicle. Excess offering provided by the Rental Agency Agreement provides coverage above Renter’s underlying limit of primary insurance (the “Excess Coverage”). Renter’s primary insurer is first responsible for defending and indemnifying the insured in the event of a claim. The Excess Coverage provides coverage after all primary insurance that may apply.COSTS, EXPENSES, FEES, CHARGES, DAMAGE, LOSS, AND THEFT
1. In the event of any accidents or damage to the Vehicle, and/or any losses, theft or vandalism of the Vehicle or any its parts, appliances, furnishings, accessories, and supplies, including fire, breakage of glass, and damages caused by animals (together, the “Losses”), the Renter shall, irrespective of the Renter’s or driver's negligence, fault, or causation by weather, terrain conditions, or Force Majeure, pay Rentee the full amount of the Losses, and all costs and expenses related or consequent to the Losses, including but not limited to replacement or recovery costs, repair costs, compensation for decline in value, and loss of rental revenue.
2. Renter agrees to report any Losses immediately upon discovery to Rentee and to law enforcement officials having jurisdiction at the time and place of the Losses. Renter agrees to acquire from said law enforcement their official report documenting the Losses, and to provide Rentee a legible copy of any service of process, pleading, or notice of any kind related to the Losses.
3. Renter agrees to promptly and directly pay charging authorities all fines, tickets, tolls, and penalties incurred in connection with the Rental. The invoiced cost plus a penalty fee as shown in Appendices 1 and 2 of the Agreement will be added to the total cost to the Renter for each instance of unpaid fines, tickets, tolls, and other penalties.
4. Renter permits Outdoorsy to charge the credit card on file in the Rental Agency Agreement for all costs, expenses, and fees due to Rentee under this Agreement, including but not limited to
a. Rental price.
b. All fees for supply inventory replacement, optional products and services purchased, and penalties incurred by the Renter, as shown in Appendices 1 and 2 of the Agreement.
c. Taxes and surcharges.
d. All costs incurred by and expenses due to Rentee for
i. All Losses, and all expenses to Rentee related or consequent to the Losses, including but not limited to replacement or recovery costs, repair costs, compensation for decline in value, and loss of rental revenue.
ii. Locating and recovering the Vehicle if Renter abandons or otherwise fails to return it, or if Rentee elects to repossess the Vehicle under the terms of this Agreement.
iii. Collecting payment from Renter or otherwise enforcing Rentee’s rights under this Agreement, including pre- and post-judgment attorney fees.LIMITATION OF LIABILITY
1. To the maximum extent permitted by law, in no case shall Rentee, nor Rentee’s affiliates, nor Rentee’s respective officers, directors, employees, agents, or owners, be liable for any indirect, incidental, consequential, special, or exemplary damages, or for any damages for personal or bodily injury, emotional distress, or damage to property, arising out of or in connection with Renter’s use of the Vehicle. This limitation applies to all claims for damages whether based on a theory of warranty, contract, tort (including ordinary negligence), strict liability, or otherwise, even if Rentee has been advised of the possibility of such damage and even if the limited remedy set forth herein is found to have failed of its essential purpose. A full refund of Charges is Renter’s only right, and remedy, and no remedy shall exceed the amount of the Charges.INDEMNITY
1. Renter agrees to hold harmless and indemnify Rentee, and Rentee’s respective officers, directors, employees, agents, affiliates, and the Vehicle's owner of record, for and from all claims, without limitation, for property damage, monetary or economic loss, and personal, bodily, or mental injury or suffering to Renter, Renter’s guests and other Vehicle occupants, unborn children, or relatives, resulting from Renter’s actions or omissions, and the actions or omissions of other Vehicle guests or occupants, during or relating to Renter’s use of the Vehicle.
2. The Renter shall not assign, transfer, or sublet any of Renter’s obligations, rights, or interest under this Agreement to any third party, whether an associated entity or not, whether in whole or in part, without prior written consent of the Rentee.WAIVER
1. The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that Party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
2. Rentee’s acceptance of payment from Renter, or Rentee’s failure, refusal, or neglect to exercise any of Rentee’s rights under this Agreement does not constitute a waiver of any other provision of this Agreement.
3. Renter waives all recourse against Rentee for any criminal reports or prosecutions that Rentee takes against Renter that arise out of Renter’s breach of this Agreement.
